As part of a replacement, our client is looking to strengthen its legal team with the recruitment of a Legal Counsel specialised in Investment Funds, covering the full corporate lifecycle of funds and related structures.
This position is particularly well suited to a Funds Lawyer seeking to transition in-house, with a broader overview of matters, a controlled workload and a sustainable work-life balance.
The role :
Reporting directly to the Head of Legal, you will be responsible for the corporate and legal management of a portfolio of investment funds and related vehicles, from incorporation through to liquidation.
Your responsibilities will include:
Managing the full corporate lifecycle of funds and investment vehicles (formation, ongoing operations, restructuring and liquidation)
Drafting, reviewing and maintaining corporate documentation (board and shareholders' meetings, resolutions, statutory registers)
Coordinating with authorities, notaries, banks, auditors and external legal advisers
Ensuring compliance with regulatory and filing obligations (RCS, RBO, CSSF, AML/KYC, CRS/FATCA)
Acting as the main legal and corporate point of contact for clients
The profile :
Master's degree in Law (business law / investment funds preferred)
5 to 8 years of experience in investment funds, gained within a law firm, fiduciary or fund services environment
Strong expertise in corporate and administrative aspects of fund structures
Autonomous, well organised and detail-oriented
Comfortable working in a small, collaborative and international team
Fluent English is essential; French is used internally, and Italian or German would be an asset
