Your Role as a Corporate Officer

As a Corporate Officer, you will be a key player in the management and administration of corporate structures, ensuring compliance with Luxembourg regulations while providing high-quality support to clients. Your responsibilities will include:

Corporate Governance & Administration

  • Handling the incorporation, restructuring, and liquidation of companies and investment vehicles.
  • Preparing and organizing board meetings, general assemblies, and shareholder resolutions.
  • Drafting and reviewing corporate documents such as minutes, resolutions, and legal filings.
  • Ensuring timely filings with the Luxembourg Business Registers (RCS, RBE, eCDF).

Legal & Compliance Support

  • Assisting in the implementation of regulatory requirements, ensuring adherence to AML/KYC obligations.
  • Maintaining up-to-date corporate records and compliance reports.
  • Liaising with law firms, auditors, notaries, and regulatory authorities.

Client & Transactional Support

  • Acting as the point of contact for clients, advising on corporate governance matters.
  • Assisting in capital transactions, share transfers, and financing arrangements.
  • Coordinating contract execution and documentation review.

Your Profile

As a Corporate Officer, your profile is defined as follows:

  • A degree in law, business administration, or finance, with relevant corporate experience.
  • A minimum of 2 years of experience in corporate administration, ideally within a fiduciary, law firm, or financial services provider.
  • Strong knowledge of Luxembourg company law and regulatory requirements.
  • Fluent in English, with any additional language (French, German, or Luxembourgish) being an asset.
  • Excellent organizational and communication skills, with a detail-oriented and proactive approach.
  • A team player with the ability to work autonomously and manage priorities effectively.
