Our client, a company specializing in property and casualty insurance and reinsurance, established following a strategic acquisition, is seeking a Corporate Secretary to join their dynamic team.
Your Missions
As a Corporate Secretary, your responsibilities will include:

Governance and Compliance
- Ensuring adherence to legal and regulatory requirements while staying updated on governance best practices.
- Promoting ethical behavior and corporate responsibility across the organization by developing and implementing relevant policies.

Board and Committee Coordination
- Organizing and facilitating board and committee meetings, including scheduling, agenda preparation, and accurate record-keeping of minutes.
- Acting as the primary liaison between the board, management, shareholders, and stakeholders to ensure effective communication.

Corporate Records and Filing
- Safeguarding and maintaining corporate records, ensuring all filings are timely and compliant with relevant regulations.

Strategic and Crisis Management Support
- Providing strategic advice on governance matters and supporting the alignment of governance practices with the company's strategic objectives.
- Developing crisis management plans for governance and compliance issues, advising during crises, and leading post-crisis evaluations.

Global Operations Management
- Managing governance practices across global operations, ensuring compliance with international regulations, and standardizing processes.

Training and Development
- Implementing training programs on governance, compliance, and responsibility for the board and senior management.
Experience: 3 to 5 years in a relevant role.

- Legal and Corporate Expertise: Strong legal and corporate knowledge, with the versatility to occasionally handle reception duties.
- Presentation Skills: Proficient in PowerPoint and Canva, with the ability to prepare high-quality presentations.
- Initiative and Precision: Proactive, detail-oriented, and capable of managing multiple responsibilities with precision.
- Dynamic and Versatile: Energetic and adaptable in a fast-paced environment.
- Language Skills: Fluency in both English and French is mandatory.
