What will you do?
Work autonomously on corporate governance matters for an assigned portfolio
Oversee the organization, preparation and coordination of board and shareholder meetings
Draft board and shareholder meeting minutes, board and shareholder resolutions
Handle mandatory filings with the Luxembourg Business Register, including deposits, excerpt orders, and research.
Review KYC, bank accounts opening, signing requests coming from external parties and coordinate completion
Ensure the accuracy and compliance of third-party drafted legal documentation
Assist with ad hoc corporate-secretarial tasks
Ensure all company records and statutory registers are properly maintained and updated on a timely basis in the relevant systems to ensure the company is kept in good standing
The profile is for you if:
You have a Bachelor’s degree or master’s degree in law, business administration, finance or related field
You have at least 4 years of experience as Corporate Officer, preferably in the Asset Management field (Private Equity, Real Estate, Alternative Investments)
You are fluent in English (any other language is an asset)
You have an advanced knowledge of Luxembourg corporate law and governance requirements
You have excellent interpersonal and customer-service skills with a professional approach at all times in accordance with policies and procedures, legal/regulatory requirements
You are able to work on multiple projects at the same time, prioritize matters and meet deadlines
You are extremely organized and rigorous
You are able to build good working relationships and gain confidence of others
