What will you do?
As a (Senior) Corporate Officer, you will be responsible for the corporate governance and company secretarial duties of a portfolio of Luxembourg investment funds - including RAIFs, SIFs, SICAVs - and related corporate vehicles.
You will contribute to the success of high-profile structures in a fast-paced and evolving regulatory environment, while acting as a key contact person and ensuring full compliance with Luxembourg corporate law and governance standards.
Key Responsibilities:
Manage the full corporate lifecycle of Luxembourg funds and related entities (establishment, board/AGM/EGM, capital changes, liquidation, etc.).
Organise and coordinate board meetings and general meetings, including the preparation of agendas, convening notices, board packs, resolutions and minutes.
Draft legal and corporate documents: board and shareholder resolutions, proxies, minutes, certificates, and service agreements.
Contribute to maintaining and updating statutory registers (shareholders and investors).
Ensure timely filings with Luxembourg authorities (RCS, MyGuichet, eCDF) and compliance with legal obligations (RBE and similar).
Liaise with notaries, external legal counsels, auditors, banks, and regulatory bodies (CSSF if necessary).
Monitor and stay ahead of the regulatory developments (AML/KYC, DAC6, ESG, where necessary) and ensure proactive compliance.
Support corporate transactions of clients including reorganisations, capital increases, mergers, and financing.
Supervise junior officers and review their work as needed.
Collaborate on internal projects to enhance corporate governance and process efficiency.
This offer is for you if:
University degree in Law, Corporate Law, or equivalent.
2 to 4 years of experience in a similar role in Luxembourg within a fiduciary, PSF, law firm, asset manager or corporate services provider.
Strong knowledge of the Luxembourg Company Law (1915 Law) and relevant regulations.
Familiarity with various corporate structures: SIF, RAIF, SICAV, SPV, partnerships.
Sound understanding of AML/KYC obligations and CSSF requirements.
Fluency in English and French (spoken and written) is required.
Knowledge of German or Luxembourgish is an asset.
Rigorous and detail-oriented with excellent organisational skills.
Able to work autonomously and manage multiple priorities under tight deadlines.
Team player with strong communication and interpersonal skills.
